Company bylaws

UPDATED BYLAWS 10-15-22:

I. Bylaws of Splendifikiss Foundation whose purpose is providing grants to creatives and giving back to the community.

II. "Role of Chief Executive."
The board hires the Executive Director. He/She holds day-to-day responsibility for the running of the Splendifikiss Foundation. The ideal director would be passionate and forward looking about the future of the music industry. A potential candidate needs to have knowledge of the music industry, artistry, and a strong entrepreneurial drive. The candidate must successfully complete a panel interview via an electronic forum with a minimum of 5 board members and a quorum of five for the purposes of voting to select the Executive Director. If the Executive Director is unable to attend the weekly board meeting or monthly membership meeting a minimum notice of 24 hours via electronic forum is required. In the event that the termination of the Executive Director becomes necessary, any board member may call a meeting to discuss the termination of the Executive Director with 24 hours notice via electronic forum. The emergency meeting requires a minimum of 5 board members with a unanimous vote of all five to terminate the Executive Director.

III. Board Structure.
The current board structure consists of the President, Vice Presidents, Secretary, and Treasurer along with our Public Relations. The standing committees are Fundraising, Operations, and Finance. Emergency meetings may be called by a 24-48 hour notice by the President/Executive Director.

IV. "Election, Roles, and Terms of Board Members and Officers."
Election role and board meeting officers: President Matt Frankel, East Coast Regional VP Emily Eason, West Coast Regional VP Jason Artola, Secretary Carrie Davies, and Treasurer LeAnn Bogart. Review position for every three years any changes will be substantial. 

V. Membership.
We will grant membership access to the company bylaws. Members are invited to participate in a monthly meeting on the fourth Saturday of each month. Membership meetings will begin in the month of December on the day of the 31st, in the year 2021. Members may attend via Zoom and/or Instagram. Members will be notified via social media about any special events.

VI. Meeting Guidelines. 
Weekly board meetings will occur Saturdays at 12:00 pm Pacific/3 pm Eastern. Agendas to be published no later than Thursday night about 11:59 Pacific time in an electronic forum. A quorum for
the purposes of board attendance and voting is a minimum of three out of seven board members who must be present for official decisions to be made.

VII. "Compensation and Indemnification of Board Members." Indemnification is a statement that limits the personal liability of board members. In some cases, nonprofits. The Splendifikiss Foundation will use the IRS Form 1023 and/or 990PF for guidance. Prior board approval is necessary for compensation agreements.

VIII. "Conflict of Interest Policy."
Will be developed as a separate document to be distributed amongst board members and be reviewed at our monthly review meeting.

IX. "Amendment of Bylaws."
To avoid cumbersome procedures, bylaws may be amended by a majority vote at a regularly scheduled board meeting.

X. "Dissolution of the Organization."
In the event of the dissolution of the Splendifikiss Foundation, all assets contributed to the Splendifikiss Foundation will be distributed to those who provided them in the first place or an equivalent less depreciation at current fair market value using IRS guidelines.
